Sustainability Committee

Terms of Reference

Provide strategic direction for Carillion’s environmental and sustainability programme. This will include:

Encouraging the adoption of challenging objectives and targets for the sustainability programme, through two-way dialogue with both internal and external stakeholders.

Interacting with the Sustainability Operations Group on all aspects of development and delivery of the sustainability programme.

Encouraging environmental and sustainability training and awareness raising throughout all Carillion businesses.

Reviewing the contents and layout of Carillion's annual sustainability report.


Receive reports on, and review the progress of, the environment and sustainability programme. This will include:

Providing comment and advice to the Sustainability Operations Group on progress towards annual programme performance targets and longer-term objectives.

Encouraging the integration of Carillion's sustainability programme within all Carillion business functions and within Carillion's business strategy. This will include:

Engaging in discussion and interacting with other relevant internal committees and offering advice to aid in achievement of programme objectives.


Co-ordinate external representation of Carillion on sustainability issues. This will include:

Identifying opportunities to promote the programme.

Using the sustainability programme to create new business opportunities through differentiation in the market place, and to add value and strengthen business and existing clients.

Proactive dialogue with the investment community, including the growing number of ethical investment funds.


Reporting progress to the Carillion Board. This will include:

Circulation of minutes of meetings to the Main Board.

Through the Director for Engineering and the Environment to produce a Monthly Environment Report for circulation in the Main Board papers.

Annual formal reporting.

Ad-hoc reporting as required.

Ensuring the effective working of the Committee through an annual review of activities
